These Terms of Use (“Terms”) govern your access to and use of the public website available at cogniveil.ai, including its pages, content, materials, resources and publicly available functionality (the “Website”).

3. Nature and purpose of the Website

Cogniveil provides information concerning our business, technology, products, services, capabilities, research, use cases and areas of expertise.

The Website is primarily intended for professional and business audiences, including organisations evaluating technology, AI governance, enterprise AI solutions or potential commercial engagement with Cogniveil.

Unless we expressly state otherwise, Website content is provided for general informational and business development purposes only.

Nothing appearing on the Website constitutes a binding offer to supply any product or service, a contractual commitment concerning functionality, performance or availability, or a warranty or guarantee. Furthermore, the content does not provide technical, legal, regulatory, financial, accounting or other professional advice, nor does it represent that a Cogniveil product is suitable for a particular regulated activity, confirm that any specific AI deployment complies with applicable law, or serve as a substitute for a customer's own professional, regulatory, technical or risk assessment.

A binding obligation to provide products or services arises only through an agreement duly entered into by Cogniveil and the relevant contracting party.

4. Information concerning Cogniveil and artificial intelligence

The Website may describe existing, planned, experimental or developing capabilities of Cogniveil and related artificial intelligence technologies.

AI technologies evolve rapidly. Product capabilities, integrations, models, architecture, interfaces, supported use cases, security features and functionality may therefore change over time.

Statements concerning product roadmaps, planned functionality, future integrations, anticipated features, performance objectives, prospective certifications, geographic expansion, regulatory positioning, and future commercial availability are informational only unless expressly incorporated into a binding written agreement.

5. No regulatory or compliance guarantee

Cogniveil develops technology intended to support organisations operating in environments in which governance, transparency, accountability and control are important.

However, the use of Cogniveil-related technology does not, by itself, make a user, customer, deployment, process or organisation compliant with any law, regulatory requirement, professional standard or internal governance framework.

Regulatory compliance depends on multiple factors outside the Website and potentially outside Cogniveil's control, including the customer's intended use, configuration and implementation, input and reference data, human oversight, organisational procedures, sector-specific rules, jurisdiction, internal controls, and the conduct of users and deployers.

Any references on the Website to compliance, governance, auditability, transparency, regulatory readiness or similar concepts describe product objectives, characteristics or use cases and should be understood in their proper context.

They do not constitute legal or regulatory advice or an unconditional certification of compliance.

6. Permitted use of the Website

8. Intellectual property rights

The Website and its contents are protected by intellectual property and other applicable laws.

Unless otherwise indicated, Cogniveil, TheFutureCats Advisory S.A. and/or their licensors own or control all relevant rights in Website materials, including rights relating to text, design, graphics, visual identity, logos, trademarks, product names, diagrams, software, interfaces, website structure, documentation, videos, presentations, reports, downloadable materials, product descriptions, technical architecture descriptions, and other original material published on the Website.

11. Confidential and sensitive information

The public Website and ordinary Website forms are not intended as secure channels for the submission of confidential, proprietary, regulated or highly sensitive information.

Unless Cogniveil has expressly requested particular information through an appropriate process, you should not submit through a general Website form:

A request for a demonstration through the Website does not automatically entitle you to access Cogniveil or any non-public environment.

Any demonstration, pilot, proof of concept, sandbox access, trial environment or similar access may be subject to an eligibility assessment, additional terms, confidentiality obligations, access restrictions, security requirements, usage limitations, and separate commercial documentation.

Cogniveil may make reports, white papers, presentations, guides, research materials or other content available for download.

Unless different terms are expressly stated for a particular material, downloaded content is provided for informational and internal business use only.

Without our prior written permission, you may not resell or commercially redistribute the content, remove attribution or proprietary notices, present the work as your own, materially alter it in a misleading manner, or use it to suggest an endorsement or affiliation with Cogniveil.

These Terms likewise do not limit any rights arising under mandatory consumer protection legislation or any other mandatory law, where and to the extent such legislation applies to the relevant user.

20. Unlawful Use, Loss Suffered by Cogniveil and Third-Party Claims

Each user is responsible, in accordance with applicable law, for the consequences of their own unlawful or unauthorised use of the Website.

Cogniveil reserves all rights, remedies and causes of action available to it under applicable law in connection with, among other things:

To the extent that these Terms constitute a binding agreement with a user acting in the course of a business or professional activity, that user shall be responsible, in accordance with applicable law, for direct loss and reasonable costs suffered by Cogniveil as a direct consequence of the user's fraudulent, unlawful or culpable act or omission in breach of these Terms.

Such liability may include, where a valid legal basis exists, reasonable costs arising from a substantiated third-party claim directly resulting from:

Cogniveil shall not be entitled to recover from the user to the extent that the relevant loss or claim was caused by an act, omission, breach of obligation or fault of Cogniveil itself or of any person for whose acts Cogniveil is legally responsible.

Where Cogniveil intends to seek recovery under this Article in connection with a third-party claim, Cogniveil shall notify the relevant professional user within a reasonable period and, where reasonably practicable, provide that user with a reasonable opportunity to participate in the handling of the claim.

Cogniveil shall not be entitled to obtain double recovery in respect of the same loss.

This Article does not create a contractual indemnification obligation for any user acting as a consumer, without prejudice to any rights, remedies or claims that Cogniveil may have against any person under applicable law.

21. Suspension or restriction of access

Cogniveil reserves the right to restrict or block access to the Website if we reasonably believe that any person or automated system is violating these Terms, attempting unauthorized access, creating cybersecurity risks, interfering with Website operations, conducting unauthorized automated extraction, abusing our infrastructure, or engaging in any unlawful activity.

A waiver concerning one matter does not constitute a waiver concerning any later matter.

26. Assignment

You may not assign or transfer rights arising under these Terms where doing so would materially prejudice Cogniveil without our prior written consent.

Cogniveil may transfer or assign its rights or obligations under these Terms in connection with a corporate reorganisation, merger, acquisition, transfer of business, transfer of the Cogniveil business or assets, or another lawful corporate transaction, provided that any transfer is carried out in accordance with applicable law.

27. Entire understanding regarding Website use

These Terms, together with the Website's Privacy Policy and any specific terms expressly applicable to particular Website functionality, constitute the terms governing use of the public Website.

They do not replace or amend a separately executed commercial agreement between Cogniveil and a customer, partner, supplier or other counterparty.

28. Governing law

These Terms and any non-contractual obligations arising out of or in connection with them are governed by the laws of Greece, without prejudice to any mandatory rules that apply irrespective of the chosen law.

29. Jurisdiction

Subject to any mandatory jurisdictional rules that cannot lawfully be excluded, any dispute arising out of or in connection with these Terms or the use of the Website shall be subject to the exclusive jurisdiction of the competent courts of Athens, Greece.
